01 Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website operated by Guapaholics, Inc., a Delaware corporation ("Guapaholics," "we," "us," or "our"), including any content, features, and functionality offered on it (the "Site"). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

If you access the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

02 Description of Services

The Site describes Guapaholics' platform offerings, including Guap Finance (programmable charge-card issuance), the Autonomous Credit Intelligence Platform ("ACIP"), NAV trade-credit application pathways, and related CDFI technical-assistance and infrastructure services (collectively, the "Platform Services").

These Terms govern your use of the Site itself: browsing, submitting a demo request, and downloading resources. Access to and use of the Platform Services by enterprise and CDFI clients is governed by a separate, signed Master Services Agreement ("MSA") and any related order forms or data processing addenda, which control in the event of a conflict with these Terms. Nothing on the Site constitutes an offer to provide the Platform Services absent a signed MSA.

03 Eligibility & Accounts

The Site is intended for businesses evaluating our Platform Services, and for individuals age 18 or older acting on behalf of such a business. The Site does not currently require account registration; submitting a demo request or other form requires that the information you provide is accurate and that you have authority to submit it on your organization's behalf.

04 Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Submit false, misleading, or fraudulent information through any form on the Site;
• Attempt to gain unauthorized access to the Site, its systems, or related networks;
• Probe, scan, or test the vulnerability of the Site, or interfere with its normal operation, except through a coordinated disclosure process described on our Security & Compliance page;
• Scrape, harvest, or reproduce Site content for competitive or commercial purposes without our written consent;
• Introduce malware or other harmful code.

05 Demo Requests & Communications

Submitting a demo request or download form authorizes us to contact you about your inquiry and, unless you opt out, about related products and services. You may opt out of marketing communications at any time using the unsubscribe link in our emails or by contacting guapaholics@guapaholics.com. Submitting a request does not create any obligation on our part to enter into a business relationship, and does not itself grant access to the Platform Services.

06 Intellectual Property

The Site and its content, including text, graphics, logos, the Guapaholics and Guap Finance names and marks, and the ACIP methodology as described on the Site, are owned by Guapaholics or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to access and use the Site for your own evaluation of our Platform Services. You may not copy, modify, distribute, or create derivative works from the Site without our prior written consent.

07 Third-Party Services

The Site references and, in the Platform Services, integrates with third-party providers including Stripe, Plaid, NAV, Rental Kharma, Skyflow, and others. Each provider's own terms and privacy practices govern your interaction with their services (for example, applying through the NAV trade-credit pathway is subject to NAV's own application terms). We are not responsible for the acts, omissions, or content of third parties, and linking to or referencing a third party is not an endorsement of, or warranty regarding, that party.

08 Financial & Underwriting Disclaimers

• Not a bank. Guapaholics is a technology and infrastructure provider, not a bank. Charge-card products described on the Site are issued by a partner issuing bank pursuant to license from the applicable card network, using the Stripe Issuing platform.
• Not a guarantee of credit. ACIP and related underwriting tooling provide decision-support analytics; they do not guarantee approval, a specific credit line, or any lending outcome. Final credit decisions are made by the lending client (e.g., a CDFI) in its sole discretion.
• Client compliance responsibility. Clients that use ACIP or Guap Finance to extend credit remain solely responsible for complying with applicable fair-lending, consumer-protection, and licensing laws (including, as applicable, the Equal Credit Opportunity Act, the Fair Credit Reporting Act, and state lending laws), including providing any required adverse-action notices.
• Not financial, legal, or tax advice. Content on the Site, including the whitepaper, is for general informational purposes only and is not financial, legal, investment, or tax advice.
• NAV pathway. The NAV trade-credit application referenced on the Site is a pathway to a NAV-hosted application; NAV, not Guapaholics, makes trade-credit decisions and is responsible for that application experience.

09 Disclaimers of Warranties

The site and its content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the site will be uninterrupted, error-free, or secure.

10 Limitation of Liability

To the fullest extent permitted by law, Guapaholics and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Site, even if advised of the possibility of such damages. Our total liability for any claim arising from your use of the Site will not exceed one hundred dollars (US$100). This section does not apply to the extent the parties have entered into a separate MSA that provides different liability terms for the Platform Services.

11 Indemnification

You agree to indemnify and hold Guapaholics harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, misuse of the Site, or violation of any third party's rights.

12 Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Site will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual action in small claims court, and either party may seek injunctive relief in court for misuse of intellectual property or confidential information. Disputes will be resolved on an individual basis only, and not as a class, collective, or representative action. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing guapaholics@guapaholics.com with your name and a clear statement that you opt out.

13 Termination

We may suspend or restrict your access to the Site at any time, without notice, for conduct that violates these Terms or that we believe is harmful to other users, us, or third parties. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

14 Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
